1. Acceptance of Terms

Welcome to Aprantout, a learning management system (LMS) platform ("Aprantout," "we," "our," "us"). These Terms & Conditions ("Terms") govern your access to and use of our website, platform, and related services (collectively, the "Services").

By accessing or using Aprantout, you agree to be bound by these Terms and our [Privacy Policy] and [Cookie Policy]. If you do not agree, you must discontinue use of the Services immediately.

If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers to both you and that organization.

2. Eligibility

You must be at least 16 years old, or the age of digital consent in your jurisdiction, to create an account and use the Services. If you are using Aprantout on behalf of a school, employer, or other organization, additional eligibility or enrollment terms set by that organization may also apply.

3. Account Registration

  • You must provide accurate, current, and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
  • You agree to notify us promptly at [info@aprantout.com] if you become aware of any unauthorized use of your account.
  • We reserve the right to suspend or terminate accounts that provide false, misleading, or outdated information.

4. Use of the Platform

You agree to use Aprantout only for lawful purposes and in accordance with these Terms. Specifically, you agree that you will not:

  • Misuse the platform or engage in unlawful, fraudulent, or harmful activity;
  • Upload or share content that infringes on intellectual property rights, is defamatory, obscene, or otherwise unlawful;
  • Attempt to gain unauthorized access to any part of the Services, other user accounts, or connected systems;
  • Interfere with or disrupt the integrity or performance of the Services, including through malware, scraping, or excessive automated requests;
  • Reverse-engineer, decompile, or attempt to extract the source code of the platform, except where permitted by law.

We reserve the right to investigate and take appropriate action, including suspending or terminating accounts, for any violation of this section.

5. Availability of Services

We strive to keep Aprantout accessible and reliable, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Services, temporarily or permanently, at any time, with or without notice. We will make reasonable efforts to notify users of material changes that affect core functionality.

6. Subscriptions, Fees, and Payment

If any part of the Services requires payment or a subscription:

  • Fees will be disclosed at the time of purchase or sign-up.
  • Subscriptions may renew automatically unless canceled in accordance with the cancellation process described at checkout or in your account settings.
  • All fees are non-refundable except as required by applicable law or as otherwise stated in a separate agreement.
  • We reserve the right to change pricing with reasonable advance notice.

7. Intellectual Property

All content, branding, software, design, and materials made available through Aprantout, including but not limited to text, graphics, logos, course templates, and platform features, are owned by Aprantout or licensed to us, and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, reproduce, distribute, modify, or create derivative works from any part of the Services without our prior written consent, except as necessary for your permitted use of the platform (e.g., viewing your own course content).

8. User-Generated Content

Aprantout may allow users to upload, submit, or share content, such as course materials, comments, assignments, or discussion posts ("User Content").

  • You retain ownership of your User Content.
  • By submitting User Content, you grant Aprantout a non-exclusive, worldwide, royalty-free license to host, use, display, reproduce, and distribute that content as needed to operate, maintain, and improve the Services.
  • You are solely responsible for ensuring that your User Content does not infringe on the rights of any third party and complies with applicable laws.
  • We reserve the right to remove any User Content that violates these Terms or that we deem inappropriate, at our sole discretion.

9. Third-Party Links and Services

The Services may contain links to third-party websites, tools, or integrations that are not owned or controlled by Aprantout. We are not responsible for the content, accuracy, or practices of any third-party sites or services, and your use of them is at your own risk and subject to their respective terms.

10. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any defects will be corrected.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Aprantout and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or related to your use of, or inability to use, the Services, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claim arising out of or relating to these Terms or the Services shall not exceed the amount you paid to Aprantout, if any, in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Aprantout, its officers, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, your User Content, or your violation of these Terms.

13. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice, including if we believe you have violated these Terms. You may stop using the Services and, where applicable, close your account at any time. Provisions of these Terms that by their nature should survive termination (including Sections 7, 8, 10, 11, and 12) will continue to apply.

14. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services, business practices, or legal requirements. When we make material changes, we will update the "Last Updated" date above and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Quebec, Canada, and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Quebec, Canada, unless otherwise required by applicable consumer protection law.
